1. Acceptance of Terms
By accessing or using CompliDesk ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms form a binding agreement between you and Kainos Consultants Australia Pty Ltd (ABN 46 678 061 535), trading as CompliDesk.
2. Description of Service
CompliDesk provides AML/CTF compliance management software for Australian Tranche 2 reporting entities. The Service includes client management, KYC verification, risk assessments, AUSTRAC reporting tools, and compliance workflow management.
3. Important Disclaimer — Compliance Responsibility
CompliDesk is a software tool to assist with compliance. It does not constitute legal or compliance advice.
YOU ARE RESPONSIBLE for:
- Ensuring your AML/CTF program meets AUSTRAC requirements
- Enrolling with AUSTRAC by the required deadline
- Making final compliance decisions about your clients
- Verifying the accuracy of all data entered
- Filing all required reports with AUSTRAC accurately and on time
CompliDesk is not a substitute for professional legal or compliance advice. We recommend consulting an AML/CTF compliance specialist for your specific obligations.
4. Subscription and Payment
Subscriptions are billed monthly in advance. Plans are:
- Sole Trader: $39/month
- SME: $89/month
- Enterprise: $149/month
You may cancel at any time. Cancellations take effect at the end of the current billing period. No refunds are provided for partial months. Prices may change with 30 days notice.
5. Your Data
You retain ownership of all data you enter into CompliDesk. We process it on your behalf. You are responsible for the accuracy of data entered and for complying with privacy laws in your collection of client information. You grant us a limited licence to process your data solely to provide the Service.
6. Intellectual Property
CompliDesk and the underlying software, design, and content of the Service are owned by Kainos Consultants Australia Pty Ltd and protected by copyright and other intellectual property laws. These Terms do not grant you any ownership rights in the Service. Except as expressly permitted, you may not copy, modify, or create derivative works based on the Service.
7. Acceptable Use
You must not:
- Use the Service for any unlawful purpose
- Enter false or misleading information
- Attempt to gain unauthorised access to our systems
- Reverse engineer or copy the Service
- Use the Service to assist in money laundering or other illegal activities
- Share your account credentials with others
8. AI-Powered Screening
The CDD screening feature uses AI (Anthropic Claude) to assist with risk assessment. AI analysis is provided as a tool to assist your judgment — it is not a definitive compliance determination. You must review and apply your own professional judgment to all screening results. CompliDesk does not guarantee the accuracy of AI-generated assessments.
9. Limitation of Liability
To the maximum extent permitted by law, CompliDesk's total liability to you for any claim arising from use of the Service is limited to the amount you paid in the 3 months preceding the claim. We are not liable for indirect, incidental, special or consequential damages including loss of profits, data or business opportunities.
10. Service Availability
We aim for 99.5% uptime but do not guarantee uninterrupted access. We may perform maintenance with advance notice where possible. We are not liable for losses caused by service outages.
11. Force Majeure
We are not liable for any failure or delay in performing our obligations under these Terms where caused by circumstances beyond our reasonable control, including outages or failures of third-party infrastructure we rely on (such as cloud hosting or email delivery providers), natural disasters, or government action.
12. Termination
We may suspend or terminate your account for breach of these terms, non-payment, or illegal use. You may terminate at any time by cancelling your subscription. On termination, you may export your data within 90 days after which it will be deleted (subject to legal retention requirements).
13. Governing Law
These terms are governed by the laws of New South Wales, Australia. Any disputes will be resolved in the courts of New South Wales.
14. Changes to Terms
We may update these terms with 30 days notice. Continued use after the effective date constitutes acceptance.
15. General
If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force. These Terms constitute the entire agreement between you and CompliDesk regarding the Service and supersede any prior agreements on the same subject. You may not assign or transfer your rights under these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets, and will notify you if we do. We may provide notices to you via the email address associated with your account.
